These Terms and Conditions (“Terms”) govern your use of the website semlocal.co.uk (the “Website”) and any services provided by Semlocal Limited (“Semlocal”, “we”, “us”, “our”). By using our Website or engaging our services, you agree to be bound by these Terms. These Terms are governed by the laws of England and Wales.

2. Our services

Semlocal provides local search engine optimisation (SEO), AI search optimisation (Generative Engine Optimisation / GEO), Google Business Profile management, technical SEO, SEO copywriting, e-commerce SEO, and related digital marketing services (“Services”). The specific scope of Services for each client is set out in their individual proposal or agreement with us.

3. Use of this website

All content on this Website, including text, graphics, logos, and design, is owned by or licensed to Semlocal and is protected by copyright and other intellectual property laws, unless otherwise stated. You may view and print pages from the Website for your own personal, non-commercial use, but may not reproduce, republish, or distribute content from this Website without our prior written consent.

Information on this Website, including pricing, is provided for general guidance and may be updated or changed without notice. We do not guarantee that the Website will be uninterrupted, error-free, or free of viruses, and we accept no liability for any loss arising from your use of the Website.

4. Engaging our services

Our standard onboarding process is as follows:

  1. Access request: we request the access needed to your Google Business Profile, website, or other relevant platforms in order to carry out the Services.
  2. Audit: we carry out an initial audit of your current online presence and identify opportunities for improvement.
  3. KPI setting: we agree key performance indicators and objectives with you for the engagement.

A proposal setting out the specific scope, fees, and any additional terms will be provided and agreed before work begins. In the event of any conflict between an individual proposal and these Terms, the proposal will take precedence in respect of the matters it specifically addresses.

5. Fees and payment

  • Fees are as set out in your individual proposal.
  • Our standard engagements run on a 30-day rolling basis, invoiced in advance of each 30-day period unless otherwise agreed.
  • Payment is collected via Direct Debit through GoCardless. By engaging our services, you authorise us to collect payment via this method in accordance with the Direct Debit Guarantee.
  • If a payment fails or is declined, we reserve the right to suspend Services until payment is received.
  • We reserve the right to change our fees for future billing periods, with reasonable notice given in advance.

6. Contract term and cancellation

Our standard engagements are on a 30-day rolling basis with no long-term lock-in contract. Either party may cancel the engagement by giving 30 days’ written notice to the other. Fees already invoiced or due for the current 30-day period remain payable. No refunds are given for work already carried out.

We reserve the right to suspend or terminate Services immediately, without notice, if you breach these Terms, fail to make payment, or provide us with false or misleading information.

7. Your responsibilities

To enable us to deliver the Services effectively, you agree to:

  • Provide timely and accurate access to the accounts, platforms, and information we reasonably need;
  • Respond to requests for approvals, content, or feedback within a reasonable time;
  • Ensure your own website, business listings, and content comply with applicable laws and with the terms of service of relevant third-party platforms (including Google);
  • Not make changes to your website, Google Business Profile, or other optimised assets that conflict with or undo our work, without informing us first.

8. No guarantee of results

SEO, local search, and AI search visibility are affected by the algorithms and policies of third parties (including Google and various AI platforms), which we do not control and which may change at any time without notice. While we apply industry best practice and our professional expertise to improve your visibility, we do not and cannot guarantee specific rankings, positions, traffic levels, lead volumes, or revenue outcomes. Any figures, timeframes, or examples we provide are estimates based on experience and are not guarantees.

9. Intellectual property in our work

Upon full payment for the relevant Services, ownership of bespoke content, copy, and assets created specifically for you (such as website copy or graphics) transfers to you. Semlocal retains ownership of its own underlying methodologies, tools, templates, processes, and any pre-existing materials used in delivering the Services, and grants you a licence to continue using them as embedded in your own website or profiles for as long as you continue to use them lawfully.

10. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other in connection with the Services, and not to disclose it to third parties except as required to perform the Services or as required by law.

11. Limitation of liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot lawfully be limited or excluded under English law.

Subject to the above, our total liability to you arising out of or in connection with the Services, whether in contract, tort (including negligence), or otherwise, is limited to the total fees paid by you to us in the 3 months preceding the event giving rise to the claim. We are not liable for any indirect, special, or consequential loss, including loss of profits, business, or data.

12. Data protection

We process personal data in accordance with our Privacy Policy, which forms part of these Terms.

13. Force majeure

Neither party is liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.

14. Changes to these Terms

We may update these Terms from time to time. The “last updated” date at the top of this page shows when they were last revised. Continued use of our Website or Services after any changes constitutes acceptance of the updated Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
